About These Terms

These terms govern the provision of consulting services by Liam Daglish trading as Gander Brand ("we", "us", "our") to clients ("you"). By engaging our services, whether via a signed proposal, written confirmation, or payment, you agree to these terms.

Gander Brand is a sole trader business registered in the United Kingdom.

Governing Law and Jurisdiction

All consulting engagements entered into with Gander Brand are governed exclusively by the laws of England and Wales. Any disputes arising from or relating to an engagement shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise agreed in writing between the parties prior to commencement of the engagement.

Scope of Services

The scope of each engagement will be set out in a written proposal or statement of work agreed between the parties before work commences. We reserve the right to decline or terminate engagements that fall outside our areas of expertise or that conflict with our professional obligations.

Fees and Payment

Fees for each engagement will be clearly stated in writing prior to commencement. Unless otherwise agreed, invoices are payable within 14 days of issue. Payments are processed via Wise Business. We reserve the right to suspend work on any engagement where payment is overdue.

Intellectual Property

Upon receipt of full payment, all deliverables created specifically for you as part of an engagement become your property. We retain ownership of all background intellectual property, methodologies, frameworks, and toolkits used in the course of delivering our services.

We may reference the fact of an engagement (but not confidential details) in our general marketing materials, unless you expressly request otherwise in writing.

Confidentiality

We treat all client information as strictly confidential. We will not disclose confidential information to any third party without your prior written consent, except where required by law. This obligation continues after the conclusion of an engagement.

Limitation of Liability

To the fullest extent permitted by law, our total liability to you in connection with any engagement shall not exceed the total fees paid by you for that engagement. We are not liable for any indirect, consequential, or incidental losses.

Changes to These Terms

We may update these terms from time to time. The version in force at the time an engagement commences will apply to that engagement. We will notify you of any material changes before new work begins.
